These Terms of Sale (“Terms”) govern the purchase of products from Houston Research Chemicals (“HRC”, “we”, “us”). By placing an order, the buyer (“Customer”, “you”) agrees to these Terms.
1. Eligibility and Permitted Use
Products sold by HRC are intended exclusively for laboratory research, analytical, and educational use by qualified professionals at registered businesses, academic institutions, or research organizations. Purchase requires an approved business account.
You represent and warrant that:
- You are at least 21 years of age and authorized to make purchases on behalf of your organization.
- You are purchasing products solely for legitimate research, analytical, or industrial purposes.
- You will not administer any product purchased from HRC to humans or animals, or use it in any food, dietary supplement, cosmetic, or therapeutic application.
- You will handle, store, and dispose of products in accordance with applicable federal, state, and local laws and recognized laboratory safety standards (including OSHA Hazard Communication Standard, NFPA 45, and the SDS provided with the product).
- You will not resell or redistribute products to consumers, retail purchasers, or any party that lacks the qualifications and intent described above.
Misuse, including any attempt to use products outside of these stated purposes, voids any warranty and may result in account termination and forwarding of records to applicable regulatory authorities.
2. Orders, Pricing, and Acceptance
Posted prices are in U.S. dollars and exclude shipping, handling, and applicable taxes. Orders are not accepted until HRC issues a written order confirmation. We reserve the right to refuse any order, limit quantities, correct pricing or product description errors, and cancel orders affected by such errors with a full refund.
3. Payment
Payment is due at the time of order unless an open-credit account has been established in writing. Accepted methods are listed at checkout. Orders flagged by fraud or sanctions screening will be held until resolved.
4. Shipping and Risk of Loss
Title and risk of loss pass to the Customer when the carrier accepts the package. Shipping methods, hazmat surcharges, and restricted destinations are detailed on the Shipping Policy page. Hazardous materials require ground transport and adult signature.
5. Inspection and Returns
Customers must inspect shipments upon receipt and report any discrepancies, damage, or non-conformance within 7 calendar days. Returns are governed by the Refund and Returns Policy. Hazardous materials cannot be returned once the original packaging has been opened.
6. Warranty and Disclaimer
HRC warrants that products meet the specifications stated on the COA at the time of shipment. EXCEPT FOR THIS LIMITED WARRANTY, ALL PRODUCTS ARE PROVIDED “AS IS” AND HRC DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
7. Limitation of Liability
HRC’s total liability for any claim arising out of or related to a product or these Terms shall not exceed the amount paid by Customer for the specific product giving rise to the claim. HRC shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
8. Indemnification
Customer shall indemnify and hold HRC harmless from any claim, loss, or expense arising out of Customer’s handling, use, storage, or disposal of any product, including any use that violates Section 1.
9. Export Controls and Sanctions
Customer agrees to comply with U.S. export control laws (EAR, ITAR) and economic sanctions (OFAC). Products may not be exported, re-exported, or transferred to embargoed countries or to denied or sanctioned parties.
10. Governing Law and Venue
These Terms are governed by the laws of the State of Texas without regard to conflict-of-laws principles. Exclusive venue for any dispute is in the state or federal courts located in Harris County, Texas.
11. Changes
HRC may update these Terms at any time. The version in effect on the date of order applies to that order.
